(g) upload, post, or transmit any content that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;

(h) interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies, or regulations of networks connected to the Site; or

CRTNYLWS MUSIC reserves the right to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. CRTNYLWS MUSIC may also modify these Terms of Use at any time, and such modifications shall be effective immediately upon posting on the Site. Governing Law and Jurisdiction

These Terms of Use and your use of the Site shall be governed by and construed in accordance with the laws of the province of Ontario, Canada, without giving effect to any principles of conflicts of law. Any legal action or proceeding relating to your use of the Site shall be brought exclusively in the courts of the province of Ontario.

Termination

CRTNYLWS MUSIC may terminate these Terms of Use and/or your access to the Site at any time, without notice, for any reason or no reason, including without limitation if you breach these Terms of Use. Upon termination, you must immediately destroy any downloaded or printed materials obtained from the Site.

Entire Agreement

These Terms of Use constitute the entire agreement between you and CRTNYLWS MUSIC with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and CRTNYLWS MUSIC with respect to the Site.

Dispute Resolution

Any dispute arising out of or in connection with these Terms of Use or the Site shall be resolved through binding arbitration in accordance with the Canadian Arbitration Association's rules for arbitration. The arbitration shall take place in Ontario, Canada and the language used shall be English. Each party shall bear their own costs and expenses associated with the arbitration.

Severability

If any provision of these Terms of Use is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions shall be enforced.

Waiver

No waiver of any term or condition of these Terms of Use shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure of CRTNYLWS MUSIC to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

Headings

The section headings in these Terms of Use are for convenience only and have no legal or contractual effect.

Assignment

CRTNYLWS MUSIC may assign these Terms of Use, in whole or in part, at any time without notice to you. You may not assign or transfer these Terms of Use or any of your rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of CRTNYLWS MUSIC.
